Long Term Investment Plan (LTI)
All permanent 魅影直播 employees at the Lead grade level and above are eligible to participate in 魅影直播 Long-term Incentive program.听The program is designed to align employee financial rewards with the long term success of the company. Subject to approval by the Board of Directors, all eligible employees (with the exception of stock option recipients) will be听granted Stock Appreciation Rights (SARs) in the next grant cycle following their hire date.听

Unlike stock options, there is no right to purchase shares and participants do not pay an exercise price. Instead, participants receive the amount equal to the excess (if any) of the Fair Market Value (FMV) of one share of Common Stock on the date of a liquidity event over the 鈥淏ase Price鈥. Unless otherwise set by the Board, the Base Price will be equal to the greater of the FMV of one share of Common Stock at the time of grant or the FMV as of January 1 of each year.
